PLEASE READ THESE TERMS AND CONDITIONS THOROUGHLY AND CAREFULLY. BY ACCESSING OR PARTICIPATING IN THE TTI PLUS CUSTOMER REWARDS PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR PARTICIPATE IN THE TTI PLUS CUSTOMER REWARDS PROGRAM. VOID WHERE PROHIBITED BY LAW.

These are the Terms and Conditions (“Terms”) for the TTI Plus Customer Rewards Program (“Program”). In order to become a member of the Program (“Member”) and receive the benefits of the Program, you must agree to these Terms. These Terms apply to your access to, and participation in, the Program, which is operated by TTI, Inc. (“TTI”). These Terms do not alter in any way the terms and/or conditions of any other agreement you may have with TTI, its subsidiaries or affiliates for other products and services. TTI reserves the right to change, modify, and/or eliminate the Program or these Terms at any time in its sole discretion and without prior notice. Your continued participation in the Program will confirm your acceptance of these changes.

Purpose. This free Program is one way in which TTI rewards and thanks loyal customers of tti.com. Members of the Program earn points to obtain benefits including upgraded shipping and price discounts. You may also be eligible for certain other benefits and rewards, which may change from time to time and may be offered on a limited basis. 

Eligibility Criteria. If you have an account on tti.com and satisfy the other eligibility criteria set forth herein, you may enroll in the Program by signing up on tti.com. If you are a business with multiple employees with separate logins to the same account, points earned by any individual will be available to all individuals using that account at the time the points were earned. Individuals will not have access to points that were earned prior to their enrollment date.

You are not permitted to participate in the Program if you are (i) located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services; (ii) identified as a “Specially Designated National”; (iii) placed on the U.S. Department of Commerce’s “Denied Persons List or Entity List” or any other U.S. export control list, or if the transaction would otherwise be illegal under any applicable law of regulation; or (iv) a customer of a physical TTI branch location.

TTI reserves the right to accept, refuse, or discontinue membership in the Program in its sole discretion. Any suspected abuse of the Program, failure to abide by these Terms, or suspected illegal, fraudulent, or other conduct inconsistent with these Terms or detrimental to TTI may result in revoking your membership and terminating any Program benefits. This Program is not targeted towards, nor intended for use by, anyone under the age of 18.

Earning Points. You will be eligible to earn points (“Points”) starting on the date of your enrollment (“Enrollment Date”). You will earn Points per U.S. dollar (as determined by the exchange rate applied to any non-U.S. transactions) spent, in accordance with your membership level. In the event of any returns, your Point balance will be adjusted based on the amount credited.

Program Benefits. Based on your current Point balance, you will reach a status level (“Status”) based on the following chart:

Each Status corresponds to a suite of benefits that may include one or more of the following: free upgraded shipping for orders over a certain value on your purchases, Price Promise on tti.com, exclusive pricing, a dedicated account manager, and a prioritized response on requests for quotes. The higher the Status you obtain, the greater the benefits you will receive. Benefits may vary across regions and are subject to change. No discount or promo code is necessary, and there are no membership fees associated with the Program.

Expiration or Termination of Points and Status. Points earned starting on your Enrollment Date will expire after 12 months, and your Point balance will reset to zero starting on each anniversary of your Enrollment Date (“Anniversary Date”). Points cannot be carried over from one year to the next. However, any Status that you earn in the 12-month period prior to your Anniversary Date will carry over until your next Anniversary Date. In the event that your membership in the Program is canceled, all of your Points, benefits, and any Status will be forfeited immediately.

No Transfer of Points. Points, rewards, benefits, or Member accounts may not be merged, transferred, shared, combined, purchased, sold, bartered, assigned, auctioned or traded, including by death or as part of a domestic relations matter, except as set forth herein. Doing so will void the Member account. Points, Status, rewards and/or benefits have no cash value, are not exchangeable for cash or otherwise transferable, and may not be used as payment of any outstanding obligation to TTI or its subsidiaries and affiliates.

User Conduct. You agree to abide by and be bound by the TTI.com Terms of Site Use, and the TTI Terms and Conditions of Sale, (collectively, “TTI.com Terms”), which are incorporated herein by reference. In the event of any conflict between these Terms and the TTI.com Terms and Conditions of Sale, the Terms and Conditions of Sale shall prevail.

Taxes. You are solely responsible and liable for any applicable federal, state or local income, sales, use or other taxes which may result from your participation in the Program.

DISCLAIMER OF WARRANTIES AND LIMITATIONS OF REMEDIES.

Seller makes no warranties or representations regarding the Goods sold.  SELLER DISCLAIMS ANY WARRANTY RESPECTING THE MERCHANTABILITY OF THE GOODS SOLD TO BUYER OR THEIR FITNESS FOR ANY PARTICULAR PURPOSE OR USE.  Seller is an authorized distributor of the Original Component Manufacturer (“OCM”) goods.  As such, Seller agrees to transfer to Buyer those transferable warranties Seller receives from the OCM for the goods sold to Buyer and is in accordance with the applicable OCM specifications.  The warranties set forth herein shall not apply to any goods that: 1) have been subject to an accident, excessive stress, modification, or abnormal wear and tear; and, 2) that have not been kept in a controlled environment which reasonably limits damage resulting from heat, humidity, corrosion, contamination and/or electrostatic discharge for normal storage and prescribed maintenance. Value-added work performed by Seller will conform to applicable Buyer’s specifications relating to such work.

Seller’s liability arising out of any sale of goods to Buyer is expressly limited to either: 1) refund of the purchase price paid by the Buyer for such goods (without interest); or 2) repair and/ or replacement of such goods at Seller’s election, and such remedies shall be exclusive and in lieu of all others.  In no event shall Seller be liable for indirect, special, incidental or consequential damages of any nature, including, but not limited to, loss of profit, promotional or manufacturing expenses, overhead, injury to reputation or loss of customers, personal injury or property damage.  Buyer’s recovery from Seller for any claim shall not exceed the purchase price paid by Buyer for the goods, irrespective of the nature of the claim, whether in warranty, contract or otherwise.

Indemnification. Buyer shall hold harmless and indemnify Seller, its respective directors, officers, employees, agents, successors and assigns to the full extent of any liability, loss, cost, claim, damage or expense actually incurred by the injured party, including, but not limited to, reasonable attorneys' fees for the defense of all liabilities, costs, claims, damages and expenses by reason of any actual property damage or personal injury that is caused by any  misconduct or any  negligent act or omission of the Buyer, its employees and agents.  Seller shall provide Buyer with prompt notice of any claim within the foregoing provision and shall give Buyer the full right to defend any such claim and shall cooperate fully in such defense.

Governing Law and Disputes. If there is any dispute about or involving the Program or Program benefits, you agree that the dispute will be governed by the laws of the State of Texas without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the state and federal courts of the State of Texas.

Miscellaneous. The Program can be modified or discontinued at any time without notice. You waive any right you may have to receive specific notice of such changes or modifications. If TTI makes any changes to these Terms & Conditions, the amended document will be posted here such amended terms will be effective immediately. Your continued participation in the Program after the amended Terms are posted will confirm your acceptance of the changes; therefore, you should review these Terms frequently to understand the Terms that apply to the Program. If you do not agree to the amended Terms, you must stop participating in the Program.

Privacy. By accessing or participating in the Program, you agree to allow TTI to use any information collected in connection with the Program in accordance with its Privacy Policy, which is incorporated into these Terms & Conditions by reference. Unless you have opted out of receiving marketing communications, TTI will communicate with you about marketing via mail, email, and other channels, including about special promotions, offers and more. TTI will also use these channels to notify you when you are eligible for a reward, communicate Program changes and more at TTI’s discretion.
